SELDONIAN TECH LTD TERMS OF SERVICE

We are Seldonian Tech Ltd, a company incorporated under limited liability company incorporated under the Companies Law, DIFC Law No. 5 of 2018, operating under prepfully.com.

By accessing and using the website and services of Seldonian, the User acknowledges that the User has read, understood, and agreed to the Terms of Service (“Terms”), which also includes the Privacy Policy. The User agrees to be bound by the Terms, even if there is a separate agreement with Seldonian. If the User does not agree with any of the Terms, the User is prohibited from using or accessing the website or services of Seldonian.

Seldonian reserves the right to revise these Terms at any time. The modified Terms will be posted on this page and indicate the date of the most recent change. User’s continued use of Seldonian constitutes acceptance of these Terms and any modifications thereto.

If the User uses the Service on behalf of a company, organization, or other entity, then (a) “User” includes the User and that entity, and (b) the User represents and warrants that User is an authorized representative of that entity with the authority to bind the entity to these Terms, and that the User agrees to these Terms on behalf of that entity.

Key Terms

For the purpose of the Terms, the following terms shall have the meaning as provided:

“Candidate” refers to a User, registered or unregistered, who is using Seldonian to help themselves better prepare for an interview or help themselves grow their career.
“Confidential Information” refers to any sensitive, proprietary, or non-public information concerning the Candidates and/or the Company, including but not limited to Candidate resumes, personal data, interview responses, recordings, session notes, Platform information, and feedback, whether oral, written, electronic, or otherwise recorded or any information disclosed by the Company to the Coach, directly or indirectly, that relates to the Company’s business, operations, marketing strategies, financial information, training materials, programs, methods, intellectual property, know-how, trade secrets or any other information that a reasonable person would understand to be confidential in nature.
“Expert(s)” and “Coach” refers to a User registered on our platform who has offered to help a Candidate with interview preparation and/or other career goals.
“Expert Advice” refers to a Session with an Expert where the Expert provides a Candidate advice on a topic of the Candidate’s choosing. The Expert will provide advice and guidance but are explicitly required not to share any confidential or sensitive information.
“Feedback” can refer to an Expert’s notes for a Candidate, a Candidate’s notes for an Expert, or a User’s notes to Seldonian.
“Practice Interview” and “Mock Interview” refers to a Session where a Candidate receives a real-world interview simulation from an Expert.
“Interview Guide” refers to an informational guide curated by Seldonian on a career or interview focused topic.
“Interview Package” and “Bulk Booking” refers to a collection of Sessions.
“Payment” refers to the money a Candidate pays to Seldonian.
“Payout” refers to the amount transferred by Seldonian to an Expert once they successfully complete a Session for a Candidate.
“Interview Questions” refers to a collection of sample questions that may potentially be asked in an interview at a given Target Company or role as well as limited archival questions, and some questions might have answers.
“Seldonian” refers to Seldonian Tech Ltd which includes the website prepfully.com and any related subdomains and forums, chat rooms, blogs, accounts as well as other products and services offered by Seldonian Tech Ltd.
“Seldonian entities” refers to Seldonian Tech Ltd, and any subsidiaries, affiliates, related companies, suppliers, licensors and partners, and the officers, directors, employees, agents and representatives of each of them.
“Services” refers to any service including but not limited to any content, products and services offered on or through prepfully.com or any platforms belonging to Seldonian.
“Session” refers to a conversation between an Expert and Candidate facilitated by Seldonian. These conversations are generally 1-hour long but may vary based on different conditions.
“Target Company” refers to the company/entity the Candidate chooses/selects for the Session.
“Target Location” refers to the country or city of the office of a Target Company to which a Candidate chooses/selects for the Session.
“Target Role” refers to a role the Candidate chooses/selects for the Session.
“Transaction” refers to a formal agreement of service between the User and Seldonian, where an exchange of funds might be involved.
“User(s)” refer to those who use or access any product/service on Seldonian, registered or unregistered and User may either be Expert, Candidate or content creator, etc.
“User Generated Content ("UGC")” refers to all content(s) created and/or uploaded in the site by Users as opposed to other content(s) created and/or uploaded by Seldonian.

Eligibility: Use of Prepfully by anyone under 13 (thirteen) years of age is prohibited. A User represents that he/she/they are at least the age of majority in the jurisdiction where the User lives or, if the User is not, the User’s parent or legal guardian must have consented to this Terms of Service and affirm that they accept this Agreement on the User’s behalf and bear responsibility for the User’s use.

Registration: When Users set up a profile on Seldonian, the Users will be asked to provide certain information about themselves. Users agree to provide us with accurate information, when Users create their accounts on Seldonian. Seldonian will treat the information Users provide as part of registration in accordance with our Privacy Policy. Users should take care in maintaining the confidentiality of their password.

Privacy Policy: Our privacy practices are set forth in our Privacy Policy. By using Seldonian, Users agree to accept our Privacy Policy.

Termination: The Terms (as amended from time to time) remain in effect for Users so long as the User(s) account remains open. A User shall have all the right to close the User's account at any time without any prior notice. Seldonian reserves the right to terminate the account of any User, without serving due notice, on grounds of violation of Seldonian’s Privacy Policy, Terms or for any other reason which Seldonian shall deem necessary. Seldonian has no liability and shall not be answerable whatsoever to the User for any termination of the User's account or related deletion of User information.

Candidates

General Terms: The Candidates shall:

pay Seldonian to access the paid Services such as Sessions with an Expert. Seldonian uses payment services providers (i.e. Paypal, Stripe and Wise) for purposes of collecting payments from Candidates,
be prohibited from scheduling Session(s) with Experts outside Seldonian except upon payment of Acquisition Fee by the Expert,
be prohibited from offering direct payments to Experts as Seldonian pays out the agreed Payouts to the Experts once a session is successfully completed,
not seek the disclosure of third-party confidential information from the Expert as the Expert is not required to provide any such information to Candidates.

Seldonian retains the right to use all Feedback (without disclosing personal details of the User unless prior permission taken from the User) for Seldonian marketing and promotional purposes.

Modifications and Cancellations

By using and availing the Service, the Candidate agrees and accepts the relevant cancellation and rescheduling policies or any other additional terms and conditions as provided in the Terms. In case of any confusion around the policies, the Candidate is expected to clarify it with Seldonian customer support by emailing at support@prepfully.com.

Before the Session time is confirmed, Candidates can pause, modify their session, or cancel without any charge, though payment processing fees are not refunded.

Once the Session time is locked in, until 24 hours before the Session, any changes by the Candidate, including reschedules or cancellations, will incur a $25 (United States Dollar Twenty-Five) cancellation fee.

Any rescheduling or cancellation of Session, within less than 24 (twenty-four) hours of the Session, will cost 50% (fifty percent) of the Session's price.

After the Session starts, Candidates cannot reschedule or cancel unless the Expert fails to show, in which case a full refund or free reschedule is offered to the Candidates.

In this context, if a Candidate misses a Session, Seldonian is not required to provide a free reschedule or a refund. Seldonian might choose to provide a refund or provide a discount on a future Session at its own discretion.

Refunds

Candidates may request a refund for a Session which was not delivered to their satisfaction. Candidates are required to provide specifics of where expectations weren’t met. Candidates agree to share all information provided with Seldonian, directly with their Experts, including giving Seldonian the right to reframe Feedback before it is shared with Experts.
Refunds, partial refunds, replacement Sessions, or partial replacement Sessions are provided solely at Seldonian’s discretion. If Seldonian provides a refund on a Session, Seldonian retains the right to adjust pricing of future Sessions for the Candidate to accommodate a different risk profile for such Candidate.
Candidates can request a refund if a coach misses a Session: Seldonian will require up to 24 (twenty-four) hours to validate this claim. A refund is issued immediately upon validation. However, they can take up to 24 (twenty-four) hours to 5 (five)-10 (ten) working days depending on a User’s bank and its processing times.
Seldonian, through its payment services providers, reserves the right to cancel transactions or place funds on hold for any suspected fraudulent transactions made on the site.
Chargebacks: If a Candidate initiates a chargeback via their payment provider without first initiating a request for refund, this shall amount to a violation of Seldonian’s Terms of Service. Doing so may get the User’s account temporarily or permanently disabled. Seldonian retains the right to decline a refund, or a future transaction, or adjust pricing of a future transaction based on the outcome of the dispute resolution process. Seldonian retains the right to request a payment collection service to collect funds for chargebacks made without explanation and without response, to recoup lost funds.

Filing a transaction dispute or reversing a payment through the User’s payment provider or the User’s bank is a violation of the Terms. Doing so may get the User’s account temporarily or permanently disabled. Note: Once the User has filed a dispute with the User’s payment provider, the funds will be ineligible for a refund due to our obligations towards the payment provider.
A Candidate is not entitled to receive any written Feedback from the Expert as an upfront expectation. This is included as part of the Service by most Experts. This Feedback can only be accessed once the Candidate submits their own Feedback on the Expert.
To protect against fraud, unauthorized transactions (such as money laundering), claims or other liabilities, payment information in connection with payment for sessions is collected by either Seldonian or Seldonian’s payment services providers. The payment services providers may also collect such other information as necessary for purposes of processing payments. This information is subject to the Privacy Policy applicable to the payment service expert.
By using any payment method and/or providing payment details for making payments to Seldonian, a User represents and warrants that: (a) the User is legally authorized to provide such information; (b) the User is legally authorized or have permission to make payments using the payment method(s); (c) if the User is an employee or agent of a company or person that owns the payment method, the User is authorized by that company or person to use the payment method to make payments to Seldonian; and (d) such actions do not violate any applicable law.

Gift Sessions for Candidates

Purchase

Sessions can be gifted via https://prepfully.com/gift
Session codes are immediately usable upon successful payment processing.
Seldonian reserves the right to limit the number of gift cards that may be purchased by the User.
The User who purchases the gift card is responsible for filling in the details for the recipient. Once the gift card is issued it will be sent to the recipient's email address directly. From then it is the recipient's responsibility to keep the card safe.
Gift cards cannot be refunded or redeemed for cash except where required by law.

Usage

Gift cards can be used for purchases on https://prepfully.com/coaches or https://prepfully.com/practice-interviews
Gift cards cannot be used to purchase additional gift cards.
Only one gift card may be used per transaction.
Gift cards may not be combined with any other coupon codes or ongoing discounts or promotions.
In case the service is of higher price than the gift card then the gift card will act like a discount code, and the session price will be discounted by the amount of the gift card. If the service booked is priced lower than the gift card, a new gift card will be issued for the balance amount. In the latter scenario, the newly issued gift card will have the same expiry date as the original gift card.

Balance and validity

Gift cards are valid for 12 (twelve) months from the date of purchase.
No fees apply to the use of the gift card.
Balance inquiries can be made by emailing support@prepfully.com
Any unused balance after expiration will be forfeited unless prohibited by law.

Loss, theft or damage: User are advised to protect this gift card. in case a gift card is lost, stolen, misused or used by someone unintentionally, it will not be replaced.

Restrictions

Gift cards cannot be resold.
Gift cards are not credit or debit cards and have no implied warranties.
Seldonian reserves the right to refuse any gift code that appears to have been tampered with or fraudulently obtained.
Gift cards cannot be returned or refunded once purchased.

Experts

General terms:

Experts are engaged on a non-exclusive basis for providing services through the Seldonian platform. They may be matched with Candidates across different domains and fields.
Experts should not schedule Sessions with Candidates outside of Seldonian except upon payment of Acquisition Fee by the Expert.
Experts should not ask for direct payments from Candidates at any point. Seldonian pays out the agreed Payout to the expert via Paypal, Wise or bank transfer. Payout fees are always borne by Experts.
Seldonian retains the right to use all Feedback (without disclosing personal details of the User unless prior permission taken from the User) for Seldonian marketing and promotional purposes.
An Expert is entitled to Payout for a Session only once they have completed the Session and submitted the Feedback form after the completion of the session. No Payout will be made until this is completed.
Expert’s rating, number of sessions and Payout may influence the number of potential Session requests an Expert gets on Seldonian.
The Expert's rating is calculated based on the reviews given by Candidates as well as their contributions on the Seldonian platform.
The Expert’s Payout can depend on the role & company(s) they support sessions for, and their past experience.
If an Expert requests higher Payouts per Session, this can be approved or declined by Seldonian. Seldonian might request additional information to make an informed decision.
Seldonian does not commit to providing a minimumm fixed number of Sessions to an Expert during a given period.
Seldonian matches the Expert with relevant Candidates, and the Expert agrees to take Session(s) with the Candidate if they are available. Experts can choose to pre-upload their availability which can then directly be booked by Candidates on the Seldonian platform without needing additional confirmations from the Expert.
Experts must provide accurate and complete information to Seldonian, including personal experience, credentials, and bank details, and must keep this updated.
Seldonian may modify and upload the Expert’s information on the Platform if the Expert uses a private booking link to operate Sessions. If the Experts wish to make any modifications to the said information then they can send an email to support@prepfully.com.
Experts cannot make representations or warranties on behalf of Seldonian without prior written consent.
Experts must maintain a distraction-free, professional environment during Sessions, treating Candidates fairly and respectfully, and avoiding discrimination, harassment, or abuse.
Seldonian reserves the right to de-rank, hide, suspend, or remove Experts from the platform based on performance or conduct.
Experts are solely responsible for their own tax filings and compliance with applicable tax laws.

Conflict of Interest and Sensitive Information

If a conflict of interest occurs such as the situation described under Clause 5.2.(c), Experts are expected to declare it in a timely manner and ensure that there is no adverse effect on a Candidate’s application. If Experts suspect a possible conflict of interest, Seldonian expects Experts to decline a Session or cancel a Session if already scheduled, rather than risking the manifestation of this conflict of interest.
An Expert should not share any information with the Candidate that is labelled ‘sensitive’ or ‘confidential’ by their employer. All Users are expected to adhere in a compliant way to their company/employer’s policies and any other terms they might be contractually obliged to, such as Non-Disclosure Agreements.
If an Expert is asked to take an actual interview of a Candidate at their current company, and they have completed a Session for this Candidate on the Seldonian platform, then we expect the Expert to declare a conflict of interest at their company and get themselves removed from the hiring process for this Candidate. Alternatively, if you are asked to take a Session of a Candidate on the Seldonian platform, whom you are potentially interviewing at your company, then we expect the Expert to declare a conflict of interest to Seldonian so we can recommend an alternative Expert for this Candidate, or alternatively cancel their Session request and issue a refund.
Seldonian recommends taking a defensive approach to conflict of interest and sensitive information. If an Expert suspects that they might be violating a contractual or legal obligation, they should default to declining to provide Service to the Candidate and notify Seldonian immediately so that a Refund can be issued.

Expert modification policy

An Expert can request a reschedule, cancellation or modification for a Session. A Candidate has the right to decline a reschedule and instead request a refund. In this scenario, the Expert is not entitled to any Payout for this Session.
If an Expert is late to the Session, then the Expert is required to compensate for the lost time and provide the Candidate a Session for the entire duration promised initially to the Candidate. The Candidate has the right to request cancellation of this session and receive a full refund. In this scenario, the Expert is not entitled to any Payout for this Session.
If an Expert fails to provide the Candidate a Session for the entire duration promised to the candidate (barring the scenario where the candidate was late to the session), the Candidate has the right to request a refund, and Seldonian has the right to cancel the Payout for this Session. Seldonian might choose to issue a partial Payout for such Sessions at its sole discretion.
By providing a Payout preference to Seldonian via the site, through email, or any other medium, the Expert represents and warrants that: (a) the Expert is legally authorized to provide such information; (b) the Expert is legally authorized or have permission to receive payments using the payment method(s); (c) if the Expert is an employee or agent of a company or person that owns the payment method, the Expert is authorized by that company or person to use the payment method to make payments to Seldonian; (d) such actions do not violate any applicable law; and (e) the Expert will take all actions necessary in order to stay compliant with the laws of any jurisdictions which apply to them.

Payments and Fees

The Expert will receive a fixed payout for each completed Session, on an hourly basis, which is decided and determined between the Parties. The payout shall be at the agreed rate, per Session, which shall be payable after (i) successful completion of the Session, and (ii) submission of the required feedback. All Payouts shall be subject to the standard timeline of the bank transfer process.
The Parties agree that the payout may be revised from time to time, either proactively by the Company or upon request by the Expert. The Expert agrees and acknowledges that the final decision in relation to negotiations on the Payout shall rest solely with the Company.
The Expert shall have the right to opt out of the Agreement if the Expert does not agree with the final terms of payout decided by the Company.
If an Expert fails to fully perform or deliver a Session, Seldonian may void or withhold payout for that Session.
If an Expert provides services to Candidates outside the platform after being introduced via Seldonian, Seldonian may invoice the Expert an Introduction Fee of USD 999 (United States Dollar Nine Hundred and Ninety Nine) per Candidate (“Acquisition Fee”) and terminate access.
Seldonian may generate self-billed invoices if the Expert does not raise invoices on time. Experts authorize Seldonian to do so.
Chargebacks: If the booking was via a private link, the Expert is liable for chargebacks claimed by the Candidate and/or Seldonian and any penalty fees (e.g., Stripe fines).

Discounts and Pricing Modifications

All decisions regarding discounts, promotional pricing, bulk bookings, or other fee adjustments for any Session relating to a specific Candidate shall be made solely by the Company. Experts will have an option to offer discounts for certain Sessions, however, the final decision shall be taken by the Company. Any discounting or promotional offer applied to a Session shall not affect the fixed payout of the Coach unless otherwise agreed to in writing between the Parties. The Company may, at its discretion, implement and modify such offers from time to time as part of its broader pricing and marketing strategy.

Materials and Transcripts

Session Deliverables.

All content, outputs, and deliverables generated by the Coach in the course of performing a specific Session under these Terms, including but not limited to interview notes, written feedback, recordings, transcripts, and practice responses (collectively, “Session Deliverables”) shall be deemed works made for hire and, to the extent permitted by law, are hereby assigned to the Company. The Company shall own all right, title, and interest in and to such Session Deliverables.

Coach Materials.

Any training materials, slides, frameworks, templates, or other intellectual property that the Coach developed independently of the Platform and uses in providing Services (“Coach Materials”) shall remain the sole property of the Coach. By making such Coach Materials available through the Platform, the Coach grants to the Company a perpetual, worldwide, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, display, distribute, and create derivative works from the Coach Materials for commercial purposes. The Coach represents that such Coach Materials do not cause breach or infringement of any third-party rights.

No Limitation on Coach Use.

Nothing in these Terms prevents the Coach from continuing to use, license, or exploit their Coach Materials outside the Platform, provided that such use does not disclose any Confidential Information of the Company or Candidates or the Session Deliverables.

Confidentiality

Experts must protect all Confidential Information disclosed by Seldonian during or after the agreement, not storing, sharing, or using it outside the platform.
Confidentiality obligations remain binding even after termination of the agreement.
This clause shall be deemed not to apply to Confidential Information to the extent that such information can be shown to have been:

Previously known on a non-confidential basis by the parties;
In the public domain through no fault of any Party; and
Coach was required to disclose the Confidential Information by the law of the land.

User Conduct

Overview: Seldonian maintains a friendly, community spirited, and professional environment. Users should keep to that spirit while participating in any activity or extensions of Seldonian. This section relates to the expected conduct Users should adhere to while interacting on Seldonian. To report a violation of our Terms, User misconduct, or inquiries regarding User account, please contact us at [email id].
Basics: To protect our Users' privacy, User identities are kept anonymous. Requesting or providing email addresses, Skype/IM usernames, telephone numbers or any other personal contact details to communicate outside of Seldonian in order to circumvent or abuse the Seldonian platform is not permitted.

Any necessary exchange of personal information required to continue a Service may be exchanged only via Seldonian customer support or Seldonian approved channels.
Seldonian shall not be responsible or undertake the liability for the level of Service offered to the candidates over the platform/site.
Users are required to attend the Sessions on time. In case of any potential delay on any side, the User is required to give inform Seldonian about it.
Users are expected to use a quite zone to take the Sessions to avoid distractions/disruptions.
Seldonian shall not be liable for any User interaction, outside the purview of the Seldonian platform. User(s) are solely responsible for their action and/or conduct therein.
All information and file exchanges must be performed exclusively on Seldonian's platform or Seldonian arranged communication channels
Seldonian has zero-tolerance for rude, abusive, improper language, or violent messages. Any such behaviour may result in an account warning or the suspension/removal of your account.
Seldonian is open to everyone. Discrimination against a community member based on gender, race, age, religious affiliation, sexual preference or otherwise is not acceptable and may result in the suspension/removal of the User’s account.

By using Seldonian, you agree that you will:

Comply with all the applicable laws, policies, regulatory laws including but not limited to privacy, intellectual property, tax, data protection;
Provide us with accurate, true and verifiable information;
Use the services in a professional manner.

By using Seldonian, you also agree that you will not, under any circumstances:

download (other than through page caching necessary for personal use, or as otherwise expressly permitted by the Terms of Use), modify, copy, distribute, transmit, display, perform, reproduce, duplicate, publish, license, create derivative works from, or offer for sale any information contained in, or obtained from or through, the Service, without Seldonian’s express prior written consent;
duplicate, decompile, reverse engineer, disassemble, decrypt, decode, translate, or derive source code from any aspect of the Service (including any underlying idea or algorithm), or attempt to do any of the same;
decrypt or modify any data transmitted between a client and the Seldonian server in a manner not expressly authorized by Seldonian;
use, post, host or distribute macros, “bots” or other programs which would enable the parsing of content at or without scale, for any intent whatsoever.
use third party software that intercepts, collects, reads, mines, or stores user information gathered by Seldonian or generated by the Service;
use, reproduce or remove any copyright, trademark, trade names, slogans, logos, images, service marks or other proprietary notations or other intellectual Property Rights displayed on or through the Service;
frame or utilize any framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout or form) of Seldonian without our express consent;
purchase search terms or use any meta tags or any other “hidden text” utilizing the Seldonian name or trademarks without our express consent;
use the Service in any manner that could disable, overburden, damage, disrupt or impair the Service or interfere with any other party’s use of the Service or use any device, software or routine that causes the same;
attempt to gain unauthorized access to, interfere with, damage or disrupt the Service, accounts registered to other users, or the computer systems or networks connected to the Service;
circumvent, remove, alter, deactivate, degrade or thwart any technological measure or content protections of the Service;
use any robots, spiders, crawlers or other automatic devices, processes, software or queries that intercept, “mine,” scrape or otherwise access the Service to monitor, extract, copy or collect information from or through the Service, or any manual processes to do the same;
introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful;
use the Service to impersonate, or attempt to impersonate Seldonian, a Seldonian employee, another user or any other person or entity (including, without limitation, by using e-mail addresses associated with any of the foregoing), create multiple accounts, or otherwise misrepresent or mislead others about yourself;
use the Service to ask users for their personal information;
use the Service for illegal, harassing, unethical, or disruptive purposes;
use the Service in any way that would adversely affect, defame or reflect negatively on Seldonian, the Service, our goodwill, our Experts, our employees or moderators, our name or reputation, or discourage any person, firm or enterprise from using all or any portion of the features or functions of the Service, or from advertising, linking or becoming a supplier to us in connection with the Service;
(if you are a company, organization, or entity); violate the terms of your privacy policies or other policies concerning the sharing of information that users, including your employees, provide in relation to Institutional Uses (as defined in the Privacy Policy);
violate any applicable law or regulation in connection with your use of the Service; or
use the Service in any way not expressly permitted by the Terms of Use.

Specific User Misconducts

Candidates are prohibited from asking, requesting and/or coercing experts to reveal information which may otherwise be sensitive and/or confidential to the expert or his/her employer. If this behaviour is reported, Seldonian reserves the right to cancel the session with no refund at its sole discretion. Seldonian also reserves the right to cancel/suspend the User’s account at its sole discretion.
In an interview package, candidates should use the Slack channel only to either schedule subsequent sessions or ask very quick and urgent queries to the expert. In case, Seldonian becomes aware that the Candidate is abusing the channel by either asking too many queries to the expert or very big topics that should ideally be covered in a Session, then Seldonian has the right to cancel the interview package immediately with no further explanation. It might also lead to blocking of interview package product for such users.

Integrated Service Provider

A User may enable another online service provider, such as a social networking service (the “Integrated Service Provider”, such as LinkedIn), to be directly integrated into the User’s account on the Seldonian platform. By enabling an integrated service, the User is allowing us to pass to, and receive from, the Integrated Service Provider, the User’s login information and other User data. For more information about Seldonian’s use, storage, and disclosure of information related to User and User’s use of integrated services within Seldonian, please see our Privacy Policy. Note that a User’s use of any Integrated Service Providers and his/her own handling of his/her data and information is governed solely by its terms of use, privacy policies, and other policies.

Violations

Overview: Users may receive a warning to their account for violations of our Terms or any User misconduct reported to our customer support team. A warning will be sent to the User's email address and will be displayed for such User on the Site. Receiving repeated warnings may lead to the User’s account being prohibited from using some features or becoming permanently disabled based on the severity of the violation.

Non-Permitted Usage

Adult services, pornography, or inappropriate/obscene content(s): Seldonian does not allow any exchange of adult oriented or pornographic materials and services.
Inappropriate behaviour & language: Communication on Seldonian should be friendly, constructive, and professional. Seldonian condemns bullying, harassment, and hate speech towards others.
Phishing, spam or violent content(s): Seldonian takes the matter of its Users’ security seriously. Any attempts to publish or send malicious content with the intent to compromise another User’s account or computer environment is strictly prohibited.
Privacy & identity: A User may not publish or post other people's private and confidential information. Any necessary exchange of personal information required to continue a service may be exchanged only via Seldonian customer support or Seldonian approved channels. Experts further confirm that whatever information they receive about the Candidate from Seldonian or via Candidate directly, which is not public domain, shall not be used for any purpose whatsoever other than for guiding/interviewing the Candidate during the session. Any Users who engage and communicate off of Seldonian will not be protected by our Terms. Any Users posting confidential information or private information about themselves or others shall be solely responsible for such actions.
Authentic Seldonian profile: A User may not create a false identity on Seldonian, misrepresent your identity, create a Seldonian profile for anyone other than himself/herself (a real person), or use or attempt to use another User’s account or information; User’s profile information, including User’s description, skills, location, etc. while may be kept anonymous, must be accurate and complete and may not be misleading, illegal, offensive or otherwise harmful. Seldonian reserves the right to require Users to go through a verification process in order to use the Seldonian platform (whether by using ID, phone, camera, etc.).
Intellectual property claims: Seldonian will respond to clear and complete notices of alleged copyright or trademark infringement, and/or violation of third party’s terms of service.
Fraud / unlawful use: A User may not use Seldonian for any unlawful purposes or to conduct illegal activities.

Abuse and Spam

Multiple Accounts: To prevent fraud and abuse, Users are limited to one active account. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead the Seldonian community will be disabled. Mass account creation may result in disabling of all related accounts. Note: any violations to Seldonian’s Terms of Service is cause for permanent suspension of all accounts.
Targeted Abuse: We do not tolerate users who engage in targeted abuse or harassment towards other users on Seldonian. This includes creating new multiple accounts to harass members through our message or ordering system.
Selling Accounts: A User may not buy or sell Seldonian accounts.
If a User comes across any content that may violate our Terms, the User should report it to us through the appropriate channels created to handle those issues as outlined in our Terms. All cases are reviewed by our Trust & Safety team. To protect individual privacy, the results of the investigation are not shared. The User can review our Privacy Policy for more information.

Indemnification

Users shall indemnify Seldonian against all losses, claims, penalties, demands and expenses arising out of any proceeding brought by the Users or a third party arising out of a user’s breach of its obligations, representations, warranties, or covenants under this agreement, or wilful misconduct or, gross negligence.

User agrees to indemnify and hold harmless Seldonian and its affiliates, shareholders, directors, officers amongst others, from any claims, liabilities, damages, and expenses (including legal fees) arising out of: (i) User’s breach of these Terms; (ii) Any claim that the content infringes third-party rights; or (iii) Any unauthorized representation or reuse of the content.

Users agree to release, indemnify, defend Seldonian entities from all third-party claims and costs (including reasonable attorneys’ fees) arising out of or related to: i) Users’ use of Seldonian, ii) User Generated Content (UGC), iii) Users’ conduct or interactions with other Users of Seldonian, or iv) Users’ breach of any part of the Terms or any other agreement that the Users have accepted/signed on.

Seldonian will promptly notify the Users of any such claim and will provide the Users (at the Users’ expense) with reasonable assistance in defending the claim. Users shall allow Seldonian to participate in the defence and will not settle any such claim without our prior written consent.

Seldonian reserves the right, at its own expense, to assume the exclusive defence of any matter otherwise subject to indemnification by Users. In that event, the Users shall have no further obligation to defend us in that matter.

Miscellaneous

Waiver of Class Actions and Release of Claims: By accessing or using the Service, the User expressly agrees to:

waive any right to bring, participate in, or maintain a class action, collective action, or other representative proceeding against the Company in connection with any dispute, claim, or controversy arising out of or relating to the Service or these Terms of Use; and
release and discharge the Company, its affiliates, officers, employees, and agents, shareholders, directors, amongst others, from any and all claims, demands, liabilities, damages, losses, or causes of action, whether known or unknown, that may arise out of, relate to, or result from the User’s use of the Service. If the User does not agree to all of the terms of these Terms of Use, including this waiver and release, the User is expressly prohibited from accessing or using the Service.

Changes to these Terms: Seldonian may make changes to the Terms from time to time. When these changes are made, Seldonian will make a new copy of the Terms, and which shall be posted on this page indicating the date of modification.

Governing Law and Jurisdiction: The Terms are governed by the laws in force in the Dubai International Financial Centre (“DIFC”). The Users hereto agree to submit to the exclusive jurisdiction of the DIFC courts, any dispute or difference which may arise out of or in connection with the Terms.

Dispute Resolution: Any Dispute arising out of or in connection with the Terms, shall be referred to arbitration under the Arbitration Rules of the Dubai International Arbitration Centre, which Rules are deemed to be incorporated by reference into this clause:

The number of arbitrators shall be one (1).
The seat of arbitration shall be Dubai International Financial Centre.
The language to be used in the arbitration shall be English and the award shall be binding.

Use Outside of the UAE: Seldonian expressly disclaims any representation or warranty that Seldonian complies with all Applicable Laws and regulations outside of the UAEs. If Users use Seldonian outside of the UAE, the Users expressly understand and agree that they are responsible for determining compliance with different laws, regulations, or customs that may apply in connection with their use of Seldonian.

Electronic Communications: Users consent to receive communications from Seldonian by email in accordance with the Terms and applicable law. Users acknowledge and agree that all agreements, notices, disclosures and other communications that Seldonian provides to the Users electronically will satisfy any legal requirement that such communications be in writing.

Entire Agreement/Severability: Except as specifically stated in another agreement with the User, these Terms, and any other agreements, documents, or policies incorporated by reference in these Terms, constitute the entire agreement between the User and Seldonian regarding the use of the Services and these Terms supersede all prior proposals, negotiations, agreements, and understandings concerning the subject matter of these Terms.

Notices: All notices permitted or required under the Terms, unless specified otherwise in the Terms, must be sent in writing as follows (in order to be valid): (i) if to a User, by Seldonian via email to the address associated with User’s account, and (ii) if to Seldonian, by a User via support@prepfully.com^[a]. Notices will be deemed given (a) if to a User, when emailed, and (b) if to Seldonian, upon receipt by Seldonian.

Relationship: The Terms does not create a joint venture, agency, partnership, or employee or other form of joint enterprise between the User and Seldonian. Except as expressly provided herein, neither party has the right, power, or authority to create any obligation or duty, express or implied, on behalf of the other.

Waiver: No waiver of any terms will be deemed a further or continuing waiver of such term or any other term. Our failure to assert a right or provision under the Terms will not constitute a waiver of such right or provision.

Survival: Termination of this Terms shall not affect the continuing obligations of the User under Clause 5.7, 9, 10.1, 10.3 and 10.8 or any other provision that by its nature is intended to survive the expiration or termination of this Agreement.

Data and Intellectual Property Ownership

Preliminary Terms:

Seldonian is very vigilant about its data and intellectual property rights. As between Seldonian and the User, Seldonian owns, has licensed, or otherwise has rights, title and interest in and to the Service and all of the content that appears on the Service. Seldonian’s intellectual property rights include, but are not limited to, copyrights, trademark rights, trade dress rights, and trade secrets. The User agrees that the User has no right, title or interest in or to the Service or any other Seldonian content.

All software (including source code), logos, icons, the Service’s “look and feel,” text, graphics, images, video clips, sound clips, content, notices, data, page layout, and selection and arrangement of the content and all copyrights, patents, trade secrets, trademarks and other intellectual property rights therein shall be owned solely and exclusively by Seldonian and/or its licensors and are protected by the Netherlands and international copyright, trade secret or other intellectual property laws and treaties. The compilation of all content and any software or other materials provided by Seldonian on the Service, or in connection with the Service are the exclusive property of Seldonian and/or its licensors and are protected by the Netherlands and international copyright, trade secret or other intellectual property laws and treaties. Seldonian and its licensors reserve all rights in connection with the Service and its content (other than User content), including, without limitation, the exclusive right to create derivative works therefrom.

Seldonian’s name, logo and all related names, logos, product and service names, designs and slogans are trademarks of Seldonian and/or its affiliates or licensors. Other names, logos, product and service names, designs and slogans that appear on the Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Seldonian. Any images of persons, personalities, products, services or any other content contained on the Service are not an indication or endorsement by Seldonian of any particular product or service unless otherwise indicated.

User Generated Content (“UGC”)

Seldonian may contain information, text, links, graphics, photos, videos, audio, streams, software, tools, or other materials, including content created with or submitted to the Services by the User or through the User’s Account. We take no responsibility for and we do not expressly or implicitly endorse, support, or guarantee the completeness, truthfulness, accuracy, or reliability of any of the User’s content.

User’s Responsibilities for UGC

By posting UGC on the Site, the User represents and warrants to Seldonian that: (i) the User has the ownership rights, or the User has obtained all necessary licenses or permissions from any required parties, to use the UGC and grant Seldonian the rights to use the UGC as provided for under this Agreement; and (ii) posting UGC does not violate any intellectual property or personal rights of others, or any applicable law or regulation. The User accepts full responsibility for avoiding infringement of the intellectual property or personal rights of others, or violation of laws and regulations, in connection with UGC. The User is responsible for ensuring that UGC does not infringe any copyrights, trademarks, or other intellectual property rights. The User agrees to pay all royalties, fees, and any other monies owed to any person by reason of UGC.
The User retains any ownership rights the User has in the User’s content, but the User grants Seldonian the following license to use that content:

When the User’s content is created with or submitted to the Services, the User grants Seldonian a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, and sublicensable license to use, copy, modify, adapt, prepare derivative works of, distribute, store, perform, and display the User’s content and any name, username, voice, or likeness provided in connection with the User’s content in all media formats and channels now known or later developed anywhere in the world. This license includes the right for Seldonian to make the User’s content available for syndication, broadcast, distribution, or publication by other companies, organizations, or individuals who partner with Seldonian. The User also agrees that Seldonian may remove metadata associated with the User’s content, and the User irrevocably waives any claims and assertions of moral rights or attribution with respect to the User’s content.
Any ideas, suggestions, and feedback about Seldonian or its Services that the User provides to Seldonian are entirely voluntary, and the User agrees that Seldonian may use such ideas, suggestions, and feedback without compensation or obligation to the User.
Although Seldonian has no obligation to screen, edit, or monitor the User’s content, Seldonian may, in its sole discretion, delete, deem the User’s content ineligible for monetization, or remove the User’s content, at any time and for any reason, including for violating these Terms, the content policy, or other terms and policies, or if the User otherwise creates or is likely to create liability for Seldonian.
The User acknowledges and agrees that Seldonian may preserve UGC and may also disclose UGC and related information if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws, or government requests; (b) enforce these Terms of Service; (c) respond to claims that any UGC violates the rights of third parties; (d) detect, prevent, or otherwise address fraud, security, or technical issues; or (e) protect the rights, property, or personal safety of Seldonian, its Users, or the public.
The User understands that Seldonian may modify, adapt, or create derivative works from UGC in order to transmit, display, or distribute it over computer networks, devices, service providers, and in various media. Seldonian may also remove or refuse to publish UGC, in whole or in part, at any time.
The User further grants Seldonian the permission and authority to act as the User’s non-exclusive agent to take enforcement action against any unauthorized use by third parties of any UGC outside of the Site or in violation of these Terms.

Paid UGC

Seldonian can offer to pay Experts and Candidates monetary compensation for creating content which can be published and sold on the Site and via other channels. All content, results, proceeds, and intellectual property developed by a User, alone or jointly, which are made, conceived, developed, reduced to practice, or learned by the User in the course and scope of the User’s agreement with Seldonian in this context, via email or other channels, are the exclusive property of Seldonian. Seldonian may, in its sole discretion, have the right to obtain and own all copyrights (and renewals and extensions thereof) for this content. Seldonian retains all rights to make this content available, free or paid, to any and all Users, at any time in the future, at its sole discretion, without needing to inform the creator of its usage. The creator may not recreate the same content for any other party, or make this content available online or offline, free or paid, without Seldonian’s explicit permission in writing.

If the User records, produces, or otherwise creates any content as part of the User’s engagement with Seldonian, including but not limited to interview recordings, audio or video content, written materials, outlines, test responses, Sessions, or other deliverables the following terms apply:

Assignment of Rights: The User irrevocably assigns to Seldonian all rights, title, and interest in and to the content, including all copyrights and intellectual property rights, without any further compensation or obligation. This assignment is effective upon creation of the content. The User agrees to promptly sign any documents and take any steps reasonably requested by Seldonian to effect, perfect, or confirm its rights.
Usage and Monetization: Seldonian has the unrestricted, perpetual, worldwide, royalty-free right to use, host, reproduce, distribute, display, modify, adapt, license, sell, and create derivative works from the content in any format or media, whether now known or later developed, for any lawful purpose. This includes, without limitation, publishing the content on websites, educational platforms, marketing materials, or commercial services.
Use of Personal Likeness: The User consents to the use of the User’s name, voice, likeness, image, and performance as captured in the content, for all the purposes described above, including commercial use and sub-licensing. The User waives any right to approve, inspect, or be compensated for such use.
Waiver of Moral Rights: To the fullest extent permitted by applicable law, the User waives any and all moral rights in the content, including any right to attribution, integrity, or control over future use. Where waiver is not possible, the User agrees not to assert those rights and consents to Seldonian's full use of the content.
Content Restrictions: The User may not reproduce, repurpose, license, publish, or make available the same or substantially similar content for any third party for a period of three (3) years from creation, unless the User receives prior written consent from Seldonian.
Warranties: The User represents and warrants that: (i) the content is original and does not infringe any third-party rights; (ii) the User has full authority to grant all rights described in this section; and (iii) the content is not unlawful, defamatory, or in violation of any agreement or applicable law.
No Obligation to Use: Seldonian may, at its sole discretion, choose whether or not to use, publish, or retain the content.
Survival: These obligations survive the termination of the User’s relationship with Seldonian and remain binding indefinitely.

Third-Party Content, Advertisements, and Promotions

The Services may contain links to third-party websites, products, or services, which may be posted by advertisers, our affiliates, our partners, or other users (“Third-Party Content”). Third-Party Content is not under our control, and we are not responsible for any third party’s websites, products, or services. User’s use of Third-Party Content is at their own risk, and they shall make any investigation they feel necessary before proceeding with any transaction in connection with such Third-Party Content.
The Services may also contain sponsored Third-Party Content or advertisements. The type, degree, and targeting of advertisements are subject to change, and the User acknowledge and agree that we may place advertisements in connection with the display of any content or information on the Services, including User’s content. By using the Services, the User expressly consents to receiving and pursuing such Third Party Content including targeted advertising.

Free Services

Seldonian might choose to offer, at its own discretion, free services for Users. These include but are not limited to peer interviews, referrals to companies, interview guides, interview questions, recorded mock interviews, tips and tricks, articles, video guides, AI resume reviews, AI answer reviews amongst others. Users agree that these Services are to be used at their own risk.
If Users prefer not to be exposed to any risks as a consequence of using them, they should not use them. Seldonian reserves the right to stop offering these at any point at its sole discretion. Seldonian reserves the right to limit their usage for Users based on any criteria at its sole discretion. Seldonian reserves the right to charge for these services in the future at its sole discretion. Seldonian bares on responsibility for the correctness or efficacy of such free services

Taxes

Candidates may be charged with indirect taxes (such as Value Added Tax or Goods and Services Tax) depending on their residency, location and any applicable law, in addition to the price of the session
Candidates agree that they are responsible to comply with all tax requirements applicable to them, including but not limited to any obligation to deduct or withhold taxes. It is hereby clarified that all prices and fees that appear on the Site are the net amounts that will be paid following any direct or indirect taxes, levy, withholding tax and/or deductions.
Experts agree that they are responsible to comply with all tax requirements applicable to them and are solely responsible to file taxes for their earnings on Seldonian based on their resident and/or home country tax laws. It is hereby clarified that Seldonian does not treat its experts as employees and is not responsible for any tax filing on behalf of experts.

User’s use of the site, its content and any Services or items obtained through the website is at the User’s own risk. Its content and any Services or items obtained through the website are provided on an “as is” and “as available” basis, without warranty of any kind, express or implied. Without limiting the foregoing, Seldonian entities expressly disclaim any and all warranties and conditions of merchantability, title, accuracy and completeness, uninterrupted or error-free service, fitness for a particular purpose, quiet enjoyment, non-infringement, and any warranties arising out of a course of dealing or trade usage.

Users agree that to the maximum extent permitted by law, Seldonian entities will not be liable to the User under any theory of liability. Without limiting the foregoing, the User agrees that, to the maximum extent permitted by law, Seldonian entities specifically will not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, business interruption, reputational harm, loss of use, loss of goodwill, or loss of data (even if we have been advised of the possibility of such damages or such damages are foreseeable) arising out of or in any way connected with your use of, or inability to use Seldonian.

Translation of Seldonian site

The site has been translated for Users’ convenience using translation software powered by Google Translate. Reasonable efforts have been made to provide an accurate translation; however, no automated translation is perfect nor is it intended to replace human translators. translations are provided as a service to Users of the website and are provided "as is". No warranty of any kind, either expressed or implied, is made as to the accuracy, reliability, or correctness of any translations made from English into any other language. Some content (such as images, videos, flash, etc.) may not be accurately translated due to the limitations of the translation software.
The official text is the English version of the website. Any discrepancies or differences created in the translation are not binding and have no legal effect for compliance or enforcement purposes.
